How it is calculated

The fee is a royalty on sales with a guaranteed floor: royalty = sales × rate % ÷ 100 and fee = the larger of royalty and minimum fee. The minimum is not added on top of the royalty; it only takes over when the royalty is lower. Sales is the licensed product's sales for the period, in dollars. The rate is a percentage, so type 8 for 8%. The minimum fee is the contractual guarantee for the same period; with no minimum, type 0 rather than leaving it empty. No input may be negative or empty, and a rate above 100 shows no result. With zero sales the fee is the minimum. The royalty equals the minimum at sales of minimum ÷ rate × 100; above that figure the percentage fee is the one owed. The tool has no tiers, advances or caps.

Worked example

A licensee sold 40,000 of licensed product. The agreement sets an 8% royalty with a 5,000 annual minimum. Step 1: royalty = 40,000 × 8 ÷ 100 = $3,200.00. Step 2: compare with the minimum of $5,000.00. The minimum is higher, so the fee owed is $5,000.00. The switch point is 5,000 ÷ 8 × 100 = 62,500 in sales. At sales of 100,000, the royalty would be $8,000.00, which exceeds the minimum, so that would be the fee.

Common mistakes

  • Adding the minimum to the royalty. In this tool the fee is whichever is larger, not the sum of the two.
  • Typing the rate as 0.08. The field is a percentage, so that would be 0.08%.
  • Comparing a yearly minimum with a month of sales. Both figures must cover the same period.
  • Using gross sales when the agreement defines royalties on net sales after returns and discounts, or the other way round.
  • Entering a rate above 100, or leaving the minimum empty when the contract has none. Both show no result; a royalty cannot exceed the sales it is charged on, and a missing minimum should be typed as 0.

About this calculator

A licensing fee is what a licensee pays a rights holder for permission to use a brand, trademark, patent, or other intellectual property, typically calculated as a royalty rate applied to the licensee's sales of the licensed product. Most licensing agreements also include a guaranteed minimum, so the licensor is paid at least that floor amount even if sales fall short — protecting the rights holder from a licensee that undersells or underreports.

This structure is standard across brand licensing, franchising, character and media licensing, and technology patents. Whichever is larger, the calculated royalty or the contractual minimum, is the fee owed.
